Terms of Service

These Terms of Service ("Terms") govern your access to and use of Metropolix, at https://metropolix.io and all associated content, features and services (the "Service"), operated by STARTUP FORTUNE LTD, a company registered in England and Wales (company no. 17485737) ("Metropolix", "the Company", "we", "us" or "our"). Please read them carefully.

1. Acceptance of Terms

By accessing or using the Service, creating an account or paying for a plan, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of a company, you confirm that you have authority to bind it. If you do not agree, do not use the Service.

2. Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted, with the revised effective date shown above. If a change materially affects a paid plan we will email the address on your account. Continued use after a change is acceptance of it.

3. The Service

Metropolix is a digital home in which independent startups add a profile and a building at an address, and visitors explore, like and review. It is provided for general information and promotion. Metropolix does not provide professional, legal, financial, investment, tax or advisory services of any kind, and nothing on it is such advice. We may modify, suspend or discontinue any part of the Service, including opening or closing streets and areas of Metropolix.

4. Eligibility and accounts

• The Service is for businesses. By joining you confirm you act for a company, not as a consumer.
• Joining is by invitation. One startup may hold one account and one space; accounts are tied to your startup domain.
• You must give accurate information, keep your password safe and tell us about any unauthorised use. You are responsible for all activity under your account.
• We may refuse, suspend or close an account that gives false information, breaks these Terms or puts the Service or other members at risk.

5. Plans, billing and cancellation

• Plans (Startup, Rising and Head Quarters; Landmark by separate agreement) are subscriptions billed monthly or yearly in advance through Stripe, charged in pounds. Dollar prices shown are a guide. Prices exclude taxes you are required to account for in your own country.
• Launch pricing is available to the founding startups and is kept while your membership stays continuously active. It is a price, not a promise of any other benefit.
• Your subscription renews automatically until cancelled. You can cancel at any time from Account; cancellation takes effect at the end of the period you have paid for, and your space stays until then.
• Subscriptions are not refunded for a period that has started. Nothing in these Terms limits any right you cannot lawfully waive.
• If a payment fails we will retry through Stripe and tell you by email. If it is not resolved, we may place your space on hold and, after notice to your account email, release it back to Metropolix.
• Your plan sets your ground and height. A plan change only applies once your payment provider confirms it, and only if the new size fits at your space.

6. The Startup Fortune feature

Each annual plan includes one Startup Fortune feature on your startup: a Branding Feature with Startup or Rising and a Premium Feature with Head Quarters; Landmark terms are agreed separately; monthly plans do not include one. Contact us for details. They are written around the details you provide, and shared with you before they are published. To keep the piece consistent with Startup Fortune's style we may make reasonable adjustments to wording, structure or formatting, and we always seek your approval before it goes live. Once a feature has been delivered it is considered fulfilled. We do not guarantee any particular search ranking, traffic or business outcome.

7. Your content

Your profile, logo, descriptions, products, services, updates, offers and reviews are "Your Content". You keep ownership. You give us a worldwide, non-exclusive, royalty-free licence to host, display, adapt for Metropolix (for example, as a building face or in the ranking) and promote Your Content in and around the Service for as long as it is on it. You confirm that Your Content is accurate and not misleading, that you hold all rights to it, and that it does not infringe anyone's rights or break any law. You are solely responsible for what you publish and for the claims you make about your startup.

8. Reviews and likes

Reviews are by signed-in members only and may not be left on your own space. They must be honest, based on genuine experience and free of abuse. We may remove content that breaks these Terms or the law, but we are not the author of reviews, and opinions in them are those of their authors.

9. Acceptable use

You agree not to:

• Break any law or any third party's rights.
• Publish anything defamatory, harassing, hateful, deceptive, adult or promoting gambling, scams or illegal goods.
• Impersonate a person or company, or give a false startup identity.
• Try to gain unauthorised access, probe, scrape, overload or disrupt the Service.
• Introduce malware or automated code, or use bots to like, review, visit or rank artificially.
• Use the Service to send unsolicited messages to members.

10. Intellectual property

Except for Your Content and third-party content, everything in the Service, including Metropolix, its buildings and layout, design, text, logos and software, belongs to us or our licensors and is protected by copyright, trademark and other laws. You may not copy, scrape, resell or build on any part of it without our written permission. The Metropolix and Startup Fortune names and logos are ours.

11. Third-party services and brands

The Service uses third-party providers (for example Stripe for payments and Google for email). Their terms apply to your use of them. Names and logos of startups shown in Metropolix are the property of their owners and do not imply endorsement by us.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT GUARANTEE ANY LEVEL OF VISITORS, VISIBILITY, RANKING, INVESTMENT OR SALES.

Nothing in the Service is an offer of, or invitation to buy, any security, token, investment or share in any company or in the profits of Metropolix.

13. Copyright notices

We respect intellectual property. To report content that infringes your copyright, send a notice through our Contact page including: your signature (physical or electronic); the work you say is infringed; the material and its URL; your contact details; a statement of good-faith belief that the use is not authorised; and a statement, under penalty of perjury, that the notice is accurate and you are the owner or authorised to act. We will act promptly on a valid notice and may terminate repeat infringers.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. NOTHING LIMITS LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING FOR FRAUD OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE.

15. Indemnification

You agree to defend, indemnify and hold harmless the Company, its owners, officers, employees and agents from claims, losses and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your breach of these Terms or your violation of any law or third-party right.

16. Suspension and termination

You may stop using the Service and close your account at any time (cancel your plan first to stop billing). We may suspend or terminate access, remove content or release a space if you break these Terms, if payment is not resolved, or if we close part of Metropolix, giving notice where reasonable. On termination your profile is taken down; sections that by their nature should survive will survive.

17. Dispute resolution and governing law

These Terms follow the same dispute-resolution and governing-law provisions as the Startup Fortune Terms of Service published at startupfortune.com/terms, which apply to Metropolix as part of the same startup. Please contact us first at the address below so we can try to resolve any concern informally.

18. General

If any provision is held unenforceable, the rest remains in force. Our failure to enforce a right is not a waiver. These Terms and the Privacy Policy are the entire agreement between you and us about the Service. You may not assign them without our consent; we may assign them to a successor of the business.
